PUBLIC OFFER

for entering into a service agreement

1. General Provisions

This Public Offer contains the terms for entering into a Service Agreement (the "Service Agreement" and/or the "Agreement"). This offer is a proposal addressed to one or more specific persons, sufficiently definite and expressing the intention of the person making the proposal to consider itself bound by an Agreement with the addressee who accepts the proposal.

Performing the actions specified in this Offer confirms the consent of both Parties to enter into the Service Agreement on the terms, in the procedure and to the extent set out in this Offer.

The text below is the official public proposal of the Contractor addressed to interested persons to enter into a Service Agreement in accordance with Article 437(2) of the Civil Code of the Russian Federation.

The Service Agreement is deemed concluded and becomes effective from the moment the Parties perform the actions provided for in this Offer, meaning unconditional and complete acceptance of all terms of this Offer without any exclusions or limitations on accession terms.

2. Terms and Definitions

Agreement means the text of this Offer with appendices that form an integral part of this Offer, accepted by the Customer through conclusive actions provided for in this Offer.

Conclusive actions mean conduct expressing consent to the counterparty's proposal to enter into, amend or terminate an agreement. Such actions consist of full or partial performance of the terms proposed by the counterparty.

Contractor's Internet Website means a set of computer programs and other information contained in an information system, access to which is provided through the Internet by domain name and network address: https://stream-gate.ru.

Parties to the Agreement (Parties) means the Contractor and the Customer.

Service means the service provided by the Contractor to the Customer in the manner and on the terms established by this Offer. Within StreamGate, the Service includes client software, public relay, routing between authorized nodes, software update delivery, support, subscriptions and related service functions.

Client application means StreamGate software installed by the Customer on its devices to connect to the service, register nodes, configure routes and transfer network traffic between authorized nodes.

Route means a logical publication of an internal service or local listener configured by the Customer and available only within an authorized StreamGate connection.

3. Subject Matter of the Agreement

The Contractor undertakes to provide the Services to the Customer, and the Customer undertakes to pay for them in the amount, manner and within the time limits established by this Agreement.

The name, quantity, procedure and other terms of the Services are determined on the basis of the Contractor's information when the Customer submits an order, or are established on the Contractor's Internet Website: https://stream-gate.ru.

The Contractor provides the Services personally or with the involvement of third parties, and is responsible to the Customer for the actions of such third parties as for its own actions, unless otherwise provided by applicable law.

The Agreement is entered into by acceptance of this Offer through conclusive actions, including:

  • actions related to registration of an account on the Contractor's Internet Website where account registration is required;
  • submission of an order by the Customer to the Contractor for provision of Services;
  • actions related to payment for the Services by the Customer;
  • installation, launch or use of the client application;
  • connection of client nodes, creation of routes, use of an access key or confirmation of the current agreement revision;
  • actions related to provision of the Services by the Contractor.

This list is not exhaustive; other actions may also clearly express a person's intention to accept the counterparty's proposal.

4. Rights and Obligations of the Parties

4.1. Rights and obligations of the Contractor

The Contractor undertakes to provide the Services in accordance with this Agreement, within the time limits and scope specified in this Agreement and/or in the manner indicated on the Contractor's Website.

The Contractor undertakes to provide the Customer with access to Website sections required to obtain information about the Services, tariffs, updates, subscription and support.

The Contractor is responsible for storage and processing of the Customer's personal data, maintains confidentiality of such data and uses it solely for proper provision of the Services to the Customer, security, legal compliance and service-related communications.

The Contractor reserves the right to change the terms (period) of providing the Services and the terms of this Offer unilaterally without prior notice to the Customer by publishing such changes on the Contractor's Internet Website and/or sending a notice to the Customer's email address. New or amended terms apply in the manner provided by this Offer and applicable law.

The Contractor may suspend access to the Services if the Customer violates this Offer, the subscription expires, an access key is revoked, a security threat or abuse is detected, the law is violated, or the Customer fails to confirm the current agreement revision within the established period.

4.2. Rights and obligations of the Customer

The Customer must provide accurate information about itself when receiving the relevant Services.

The Customer undertakes not to reproduce, repeat, copy, sell or otherwise use information and materials made available in connection with the Services, except for personal use directly by the Customer without granting access to any third parties, unless otherwise permitted by the Contractor.

The Customer undertakes to accept the Services provided by the Contractor.

The Customer is responsible for the legality of its routes, internal services, local systems, access keys, accounts, content and network traffic transferred through StreamGate. The Customer must not use the Service to violate law, third-party rights, network policies, information security requirements or data protection obligations.

The Customer may demand a refund from the Contractor for services not provided, services provided with inadequate quality, services provided in breach of the time limits, and also if the Customer decides to refuse the services for reasons not related to breach by the Contractor, only on grounds provided by the current legislation of the Russian Federation.

The Customer warrants that all terms of the Agreement are clear to it; the Customer accepts the terms without reservations and in full.

5. Price and Payment Procedure

The cost of the Contractor's services provided to the Customer and the payment procedure are determined on the basis of the Contractor's information when the Customer submits an order or are established on the Contractor's Internet Website: https://stream-gate.ru.

All payments under the Agreement are made by non-cash settlement unless another procedure is indicated on the Contractor's Website or agreed by the Parties.

Access to individual functions may be provided under a trial period, promo code, fixed-term subscription, lifetime tariff or another model published on the Contractor's Website.

6. Confidentiality, Security and Data Processing

When performing this Agreement, the Parties ensure confidentiality and security of personal data in accordance with the current version of Federal Law No. 152-FZ of 27 July 2006 "On Personal Data" and Federal Law No. 149-FZ of 27 July 2006 "On Information, Information Technologies and Information Protection".

If GDPR, CCPA / CPRA or other data protection rules apply to the Customer or a particular operation, this section also discloses categories of processed data, purposes of processing and basic privacy notices.

The Contractor may process:

  • account and contact data, including email address, support requests and access-related messages;
  • access and security data, including access key identifiers, issuance, blocking and revocation status, app identifiers, node identifiers and names, and authentication metadata;
  • subscription and billing data, including subscription type, expiry, promo codes, payment metadata and operation history;
  • service configuration data, including route names, local endpoints, transport mode, proxy settings and notes stored in the client or dashboard;
  • operational metadata, including session identifiers, timestamps, traffic counters, runtime events, versions, crash reports and diagnostics;
  • transmitted traffic data required to perform the routing function and normally processed transiently in service memory without long-term storage;
  • update and package delivery data, including current version, served package version, update history and restart events.

The purposes of processing include user registration, access key delivery, client authentication, authorization of application instances, operation of the relay, portal, dashboard, updates and support, service protection, abuse investigation, subscription management, access recovery and notices about operational or legal changes.

Where GDPR applies, legal bases may include performance of a contract, pre-contract steps requested by the user, legitimate interests in service security and operation, compliance with legal obligations and consent where a particular flow explicitly requests it.

Where CCPA / CPRA applies, the Customer may have rights to know, access, correct and delete certain personal information, and rights related to sensitive personal information and non-discrimination, subject to applicable exceptions. Unless a special notice states otherwise, StreamGate is not intended to sell personal information or share it for cross-context behavioral advertising.

Data may be disclosed to StreamGate operators and administrators, infrastructure, hosting, mail delivery, security, payment or billing providers, as well as advisors, auditors, regulators or authorities where disclosure is required by law or necessary to protect rights and security.

Retention is determined by account activity, subscription term, support needs, abuse prevention, security, accounting, legal compliance and evidence of accepted agreement revisions.

The Parties undertake to keep confidential the information received during performance of this Agreement and to take all possible measures to protect such information from disclosure.

Confidential information means any information transferred by the Contractor and the Customer during performance of the Agreement and subject to protection, except for information that became publicly available not due to the receiving Party's fault, is disclosed on a lawful basis or is not confidential under applicable law.

7. Force Majeure

The Parties are released from liability for non-performance or improper performance of obligations under the Agreement if proper performance became impossible due to force majeure, namely extraordinary and unavoidable circumstances under the given conditions, including prohibitive acts of authorities, epidemics, blockade, embargo, earthquakes, floods, fires or other natural disasters.

If such circumstances occur, the Party must notify the other Party within 30 (thirty) business days.

A document issued by an authorized state body is sufficient confirmation of the existence and duration of force majeure.

If force majeure circumstances continue for more than 60 (sixty) business days, either Party may unilaterally withdraw from this Agreement.

8. Liability of the Parties

In case of non-performance and/or improper performance of obligations under the Agreement, the Parties are liable in accordance with this Offer.

The Contractor is not liable for non-performance and/or improper performance of obligations under the Agreement if such non-performance and/or improper performance occurred through the Customer's fault, incorrect route configuration, unavailability of the Customer's internal services, restrictions in the Customer's network, actions of third parties or other circumstances beyond the Contractor's control.

The Party that failed to perform or improperly performed obligations under the Agreement must compensate the other Party for losses caused by such breaches in the manner and within the limits provided by the current legislation of the Russian Federation.

9. Term of this Offer

The Offer enters into force from the moment it is published on the Contractor's Website and remains valid until revoked by the Contractor.

The Contractor reserves the right to amend the Offer and/or revoke it at any time at its discretion. Information about amendment or revocation of the Offer is communicated to the Customer at the Contractor's choice by publication on the Contractor's Internet Website, in the Customer's personal account, by sending a notice to the email or postal address provided by the Customer, or through the client application.

The Agreement enters into force from the moment the Customer accepts the Offer and remains valid until the Parties fully perform their obligations under the Agreement.

Amendments made by the Contractor to the Agreement and published on the Website as an updated Offer are deemed accepted by the Customer in full in the manner provided by the published revision and applicable law. For individual agreement revisions, the service may require explicit confirmation in the client application or through a link in an email.

10. Additional Terms

The Agreement, its conclusion and performance are governed by the current legislation of the Russian Federation. All matters not regulated by this Offer or not fully regulated are governed by the substantive law of the Russian Federation.

If a dispute arises between the Parties during performance of their obligations under the Agreement entered into on the terms of this Offer, the Parties must settle the dispute amicably before court proceedings.

Court proceedings are conducted in accordance with the legislation of the Russian Federation.

Disputes or disagreements on which the Parties have not reached agreement are resolved in accordance with the legislation of the Russian Federation. Pre-trial dispute resolution is mandatory.

The Parties designate Russian as the language of the Agreement entered into on the terms of this Offer and as the language used in any interaction of the Parties, including correspondence, claims, notices, explanations and documents.

All documents to be provided under this Offer must be in Russian or accompanied by a duly certified Russian translation.

Inaction by one Party in the event of breach of this Offer does not deprive the interested Party of the right to protect its interests later and does not constitute waiver of its rights in case of similar breaches in the future.

If the Contractor's Website contains links to other websites and third-party materials, such links are provided solely for information, and the Contractor has no control over the content of such websites or materials. The Contractor is not liable for any losses or damage that may arise from use of such links.
